These Terms of Use (“Terms”) govern your access to and use of the services provided by Waves Music Group (“we,” “our,” or “us”), including music distribution, royalty management, and client portal access. By using our services, you agree to comply with these Terms.

1. Eligibility & Authority

• Age: You must be at least 18 years old to enter into this agreement.

• Legal Rights: You warrant that you have the full legal authority to grant us the rights to distribute, license, and monetize the music, artwork, and metadata you submit.

• Ownership: You must be the sole owner or have written permission from all rights holders (producers, featured artists, etc.).

2. Account & Dashboard Responsibilities

• Security: You are responsible for maintaining the confidentiality of your login credentials for the Waves Music Group dashboard.

• Accuracy: You must provide current and valid identification and payment details.

• Sub-Accounts: If you manage sub-clients, you are responsible for their compliance with these Terms. Any violation by a sub-client is considered a violation by you.

3. Content Submission & Licensing

• Compliance: All content must strictly follow our Content Style Guide.

• License Grant: You grant Waves Music Group a worldwide, non-exclusive right to distribute, perform, and monetize your content across all digital service platforms (DSPs).

• Promotion: You authorize us to use your artist name, image, and metadata for promotional purposes related to the distribution.

4. Royalties & Financial Terms

• Calculation: Royalties are calculated and paid according to our Royalty Payment Policy.

• Reporting: Branded statements and CSV reports provided via the client dashboard are considered final unless a dispute is raised within 30 days.

• Thresholds: No payments will be issued until the minimum threshold specified in the Royalty Policy is met.

5. Prohibited Conduct & Anti-Fraud

• Zero Tolerance: Artificial stream inflation, bot activity, and copyright infringement are strictly prohibited as outlined in our Anti-Fraud Policy.

• Indemnification: You agree to indemnify and hold Waves Music Group harmless from any legal claims, fines, or losses (including attorney fees) resulting from your breach of these Terms or third-party copyright claims.

6. Termination & Content Takedown

• By You: You may request to terminate this agreement at any time. Takedowns from stores typically take 2–4 weeks to process.

• By Us: We reserve the right to suspend or terminate your account immediately for fraud, copyright violations, or any activity that damages our reputation with distribution partners.

• Post-Termination: Certain data (financial records) will be retained as required by law.

7. Limitation of Liability

• Service Availability: We provide our services "as is." We are not responsible for technical delays on DSPs (Spotify, Apple Music, etc.) or for the commercial success of your music.

• Damages: Waves Music Group shall not be liable for any indirect or consequential damages, including loss of profits or data.

8. Governing Law & Jurisdiction

• Law: These Terms are governed by and construed in accordance with the laws of the Republic of Armenia.

• Disputes: Any legal disputes arising from these Terms shall be resolved in the courts of Armenia.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Waves Music Group platform after updates are posted constitutes your acceptance of the new Terms.
